How the Tirana incinerator and landfill company was founded and changed owners

Everything starts about a year before the Tirana Landfill was granted a concession along with incineration and energy production.

In 2016, in the Netherlands, in a shell company office, the company "Integrated Energy" opens.

The company comes to Tirana with three shareholders, the "ITS" company of Klodian Zoto, the "Energy Recuperator" company, of the Italian citizen Ernesto Granelli, who also appears in the incinerator of Fieri with 30% and the big company "Paul Wurth".

These are the three companies that had the shares of "IE" and signed the Tirana landfill concession. But the pear has its tail back.

But what happens?

Two big names have been presented to the Albanian state, i.e. "Paul Wurth" and the Italian company. On the other hand, these were simple and only cover names. Then it was discovered that there was, let's call it, a pre-contract, written between these companies and Klodian Zoto's "ITS" company, where it is stated that the shares will be returned immediately, after receiving the concession for the landfill, incinerator and energy production in Tirana.

In December 2017, 5 months after the concession contract for Tirana was signed, on August 31, 2017, "Paul Wurth" returns the shares to Klodian Zoto.

Also in January 2018, "Energy Recuperator" returns the shares to Klodian Zoto.

In 2018, Klodian Zoto takes 100% of the shares and then sells it to the citizen Giuseppe Ciaffaglione, also to the latter with a condition and a salary of 6500 euros, Ciaffaglione is also appointed administrator of the Tirana landfill. The sale of the company in the contract is for the value of 453 thousand euros, a fictitious value, money with expected and salary.

Ciaffglione, we remember, is the man who hired the father of Alqi Bllakos and has also received a FiCo consultancy for the Fier incinerator. He is wanted internationally by SPAK and is accused of the affair.

He is always seen in different photos and environments with Klodian Zoto and Mirel Mërtir, the two main leaders of the incinerator affair.

Then citizen Ciaffaglione sells to the Italian companies Franco Tosi, Bruno Presezzi and others. These sales are around 370,000 euros, but even these share sales are conditional sales.

In the contract, it is stated that the shares are sold on a conditional basis and will be kept for 9 years in use, the buyers have the obligation to find the investment funds for the Tirana incinerator and then return the shares, after the end of the term.

In case of non-return of the shares, the penalty against these "buyers" of these shares is about 40 million dollars.

For several years, the real shareholders and transactions were not recognized by the Albanian state, as everything was covered with a shell company, until the law on the declaration of the final shareholders of the companies was changed.

Where are the problems?

First, the Albanian state has been deceived because Klodian Zoto knowingly took and brought the company "Paul Wurth" and "Energy Recuperator" simply and only to sign the Tirana concessionaire.

Zoto has deceived that he has brought an international brand, a Dutch company, a large international company, an Italian company, and so on, and from these he has received the bonuses of the Albanian state.

In fact he was a fraud. Klodian Zoto knew that these companies would not be part of the concession or the investment that would be made, because he had the contract before and after signing the concession in Tirana, he took back the shares.

Then the sale was made to Giuseppe Ciaffaglione, then to the Italians Presezzi and Franco Tosi who came to Tirana and have been reported to the CKB for a year.

Secondly, there are three shareholder changes for which permission was not obtained from the Albanian government.

According to the law of concessions, article 25, the concessionary company that is the mother had to obtain permission from the Albanian state for the change of shareholders. The shareholders cannot be changed at will, because the granting of the concession is based on the CV of the companies presented at the beginning, it is their experience that makes the assessment to receive the concession contract.

Thirdly , we are in 2023, the concessionaire company has not made the investment according to the business plan presented to the government. He had to invest 35 million euros in the first year, 40 in the second year, 38 in the third year, and so on, according to the feasibility study and investment plan. But it didn't happen like that.

Today we are in the third year, according to the claim of the company, which claims the delay in clearing the construction permit, but there is one detail, about 78 million euros should have been invested in at least two years. The concession company itself in March of this year said publicly that it had invested 30 million, while the real value of the investments is no more than 22-24 million euros, according to some documents of the company itself.

On the other hand, the company has generated a profit of about 25 million euros, with a turnover in 6 years, which is over 110 million euros, of which about 60 million euros have been paid by the Albanian state through the unconditional transfer of the government to Tirana Municipality and the rest of the payment was made by the private business for the collection and treatment of solid and other waste.

So, there are several points that tell us that not only the implementation of the contract has been violated , but we are also dealing with the fraud scheme and the game with the names presented to the government, in changing the names of the shareholders and the transactions of shares more than once.  

Without talking further about the fact that the citizens who organized the affair of the incinerators, Mirel Mërtiri, Klodian Zoto and the shareholder Giussepe Ciaffaglione, without leaving aside many others who have been declared internationally wanted and are awaiting trial by the court./ CNA
