CNA continues with the publication of the full file of accusations that SPAK has brought against the Tirana incinerator company, where after a long time it was confirmed with facts and evidence that the real owners are Klodian Zoto and Mirel Mërtiri.

CNA published about 22 pages in the writings of the past days. Today we are bringing some more facts. According to SPAK, verification was done at the National Business Center for the company "Integrated Energy BV SVP" and for its mother.

On page 23 SPAK clearly shows what are the connections of the parent company in the Netherlands, the company "ITS" of Klodian Zoto, the company "Energy Recuperator", which is one of the shareholders in the establishment of the parent company in the Netherlands and the company "Paul Wurth Italia SPA" ", also this shareholder in the founding of the company.

The three of them came to Albania together and received the contract for the Tirana landfill and incinerator. Afterwards, the two companies "Energy Recuperator" and "Paul Wurth" left to leave the entire shares to Klodian Zoto.

The latter has tried to put them in foundations, or transfer them to other names, such as the case of Giuseppe Ciaffaglione or conditional sale of shares for ridiculous values.

SPAK has done all the verifications, the way the companies were created. On page 24, the procedure, the minutes, the inspection of documents, the orders given, the evidence collected and the questioning of the citizens, who were owners at the time of the establishment of the company, are shown.

The most interesting is the statement of the Italian citizen Alberto Pressezzi, who is the President of the company "Bruno Pressezzi". Throughout his explanation, he states that the person who had contact is called Giuseppe Ciaffaglione. They have communicated sometime since 2017 about the Fier incinerator turbine.

Around the year 2018-2019, Giuseppe Ciaffaglione started talking to him about the Tirana project and then received a proposal from the latter to enter as a shareholder in the Dutch company "Geogenix" (the new name of the company "Integrated Energy") and together with a partner who cooperated with Pressezzi's company, the Swiss company "Icare", owned by the citizen Max Abitbol. In 2022, Pressezzi declares that they entered as sleeping partners.

Clearly on page 25 of the SPAK, Alberto Pressezzi's statement says that he is a dormant shareholder in the Dutch company "Geogenix", i.e. what CNA has written day after day, what journalist Elvi Fundo has publicly denounced with facts and documents , emphasizing that the shareholders are conditional, they are asleep and the purpose of taking their shares is to secure the financing of 100 million euros that had to be secured for the Tirana incinerator, and this is also what Pressezzi says.

Once the funding was secured from these companies, they would then be active as full shareholders of the "Geogenix" company in the Netherlands for a certain period of time and this is confirmed by Alberto Pressezzi himself, who also states that he has not received any income or benefit another from the Dutch company, the mother of the Tirana incinerator.

Regarding the change of the managing directors of the Dutch company, made last year, he says that despite the fact that together with the Swiss company "Icare" they have the majority of the quotas of the Dutch company, they have not made any decision regarding the change of directors managers of this company and do not know how this change was made.

So, here too it seems that we are dealing with a forgery or a fraud that has been done to these sleeping shareholders.

He has emphasized that since he is a dormant shareholder, he is not aware of any assembly meeting of the "Geogenix" company, which in fact had an announcement, according to an email published in January, to be held in Vienna. where Mirel Mërtiri is located.

Also, he states that he has no idea where the income collected by the concession company in Tirana, which is owned by the Dutch company, goes.

Also, he declares for SPAK that he does not know the previous shareholders, citizens Ernesto Granelli, Thomas Hasmann, and does not know the shareholder registered in 2021, citizen Salvatore Ruselli.

He says that he knows Klodian Zoto and Mirel Mërtir, whom the Italian citizen introduced to him. Giuseppe Ciaffaglione. He met Zoto and Mërtir many times during 2022, with whom he talked about work issues, specifically about the Tirana incinerator. The Italian Ciaffaglione was also present at these meetings.

He testifies for SPAK that he has discussed the Tirana incinerator with Mërtiri since before his entry as a shareholder in the "Geogenix" company.

Asked if he knows the citizen Herman Daniel Vermeulen, the administrator of the Tirana incinerator company since 2022, the main shareholder declares that he does not know him and has no idea who appointed him as the company administrator.

He underlines that the citizen Mirel Mërtiri had a great weight in the "Integrated Energy BV SVP" company, as he dealt with the technical side, talked with all the suppliers, etc.

Also, he declares that all the quotas he bought to enter as a shareholder of the Dutch company he received from the citizen Giuseppe Ciaffaglione, against a symbolic amount.

Asked about the passport data that served for the registration in the CKB of the final beneficial owners of the company "Integrated Energy BV SPV" in 2021, SPAK states that Pressezzi stated that he did not authorize any person to perform any action with his passport in Albania.

Also, Pressezzi submitted the documentation he had, that is, the shareholders' agreement and others like these, the relevant quotas according to the data highlighted in the documentation of the Special Prosecutor's Office.

Then, the statement of the citizen Salvatore Ruselli continues, who says that he does not know whether the work at the landfill in Tirana has been completed or not, since he had a contract with the concession company for about 3.6 million euros, with a prepayment of 550 thousand euros, but the contract has not been finalized as the civil works had to be completed. He says that he does not know if these works have been completed.

Ruselli further emphasizes that he does not know who owns the company in Albania, but he knows who are the shareholders of the Dutch company, where he and Ciaffaglione have 1 quota without voting rights. However, he emphasizes that he does not remember from whom he received this quote and at what time.

He says that he received a formal request from the representative of the company, Denisa Tollkuçi. CNA has learned that Denisa Tollkuçi has already left for the USA, after the outbreak of the scandal with the Tirana incinerator affair. Tollkuçi is known as one of Klodian Zoto's closest people.

Asked about his passport data and registration at the KKB, he emphasized that he did not authorize any person in relation to this matter.

These are two of the statements, according to SPAK documents, both from the shareholders of the parent company in the Netherlands, which once again confirm what CNA reported and the denunciations made public by the journalist Elvi Fundo, who emphasized that the shareholders of they really are Klodian Zoto and Mërtiri and this has already been proven.

Also, the fact has been proven by SPAK that the shareholders did not appoint the administrators, did not appoint managing directors, did not give authorizations for the use of their passports.

So, beyond the falsification of invoices, we are already facing another scandal, theft of data, falsification of data and documents that have been submitted to the offices of the Albanian state regarding the movements of the final shareholders, their sale, or the appointment of of the administrator and managing directors./ CNA
