The scheme with the owners of the Tirana incinerator

The incinerator affair is a government business with dubious connections that go beyond Albania.

Arben Ahmetaj's statement about the ownership of the burner of Tirana raises new questions, but at the same time also other lines of investigation.

The show 'Plug' will shed light on the ownership of the Tirana Incinerator, but not only, and how this business has received the blessing and government guarantee to continue the activity without any obstacles, despite the investigations carried out so far by SPAK.

The show 'Plug' will try to answer this question, by breaking down the ownership scheme of Tirana's incinerators.

Questions will be answered:

- Who are the actual owners of the Tirana incinerator?

-What are the companies behind the affair?

-What are their connections with Iran and the Russians?

- Is Erion Veliaj hiding directly behind the ownership of the Tirana incinerator?

Why did SPAK only superficially investigate the ownership scheme of the incinerators and did not go to the end of it, although there were enough indications to dismantle this scheme?

Let's start by signing the contract.

On August 31, 2017 , the concession contract was signed between the Ministry of Environment as the contracting authority and the company Integrated Energy BV SPV with the object 'Construction of landfill, incinerator and rehabilitation of the existing storage site, Tirana.

The contract provided for the construction and operation of the Tirana incinerator, which would have to burn urban waste and produce energy.

The company that would implement the concessionary contract was 'Integrated Energy BV'.

Because earlier we addressed the procedure and how this company obtained the concession contract, in this show we will only talk about the ownership structure of the company, clarifying whether this is a business with a government guarantee. From the administered documentation, it appears that in the Deed of Establishment of the company "Integrated Energy BV", (today with the new trade name "Geogenix B.V") there are 3 shareholders:

- 'Integrated Technology Services' sh.pk, with office address 'Abdi Toptani' street, 'Torre Drin' building, Tirana, with administrator citizen Klodian Agim Zoto.

- 'Energy Recuperator SPA' with legal representative citizen Ernesto Granelli, born in Carpenedolo, Italy, date of birth 08.12.1944.

-Paul Wurth Italia SPA', with legal representative Thota Balter Hanisminan born in Aachen, Germany on 23.10.1961,

These three companies, i.e. 'Paul Wurth Italia SPA' shareholder with 45%, 'Energy Recuperator SPA' shareholder with 30% and 'Integrated Technology Services' shareholder with 25%, authorized the citizen Freek Hilberdink to establish the company 'Integrated Energy BV' in Netherlands. The foundation of this company was made on August 19, 2016 near the Dutch notary in Amsterdam, Gilian Renkema.

The company 'Integrated energy B.V', based in the Netherlands, had as its basic capital the amount of 50 thousand euros, nominally divided into shares of 1 euro. The shares are owned as follows: 22,500 shares or 45 percent of them by the company 'Paul Uurth Italia SPA, 15,000 shares or 30% by 'Energy Recuperator S.PA'; (founder 2); 12,500 shares or 25% from 'Integrated Technology Services' sh.pk founder 3.

This cooperative relationship between the three companies, Paul Wurth Italia, Energy Recuperator and Integrated Technology Services, as founders of the company Integrated Energy BV, was expected to last until the concession contract for the Tirana incinerator was awarded. The reason was simple, they had to be used for the tendering procedure.

In order to win the concession contract, the companies participating in the competition had to guarantee the contracting authority that they had the necessary capital to carry out the investment of 128 million euros foreseen in the feasibility study.

For this reason, Klodian Zoto and Mirel Mërtiri used the Italian company, Paul Wurth Italia. One of the main criteria for evaluating the concession contract is the financial capacity and international experience of the shareholders.

Klodian Zoto and Mirel Mërtiri have used the name of the company Paul Wurth Italia, just to formally meet the financial criteria to afford the 128 million euro investment. Only four months after the agreement between the Ministry of Environment and the daughter company of these companies, Integrated Energy BV SPV, represented by Klodian Zoton, the two founding companies withdrew from the Dutch company Integrated Energy BV, selling the shares to the company Integrated Technology Service of Klodian Zotos. In the sales contract dated 28.12.2017 between Paul Worth Italia (seller) and Integrated Technology Services (buyer) it is stipulated that:

'In accordance with the preliminary cooperation agreement dated 29.07.2016 between the seller and the buyer, it is foreseen that at the moment of obtaining the concession contract from the local authorities, the seller must transfer the shares to the buyer, and that the purchase price is 22,500 euros.'

E njëjta gjë ndodhi dhe me themeluesen tjetër të Integrated Energy BV në Hollandë, kompaninë Energy Recuperator. Në kontratën e shitjes, të datës 12 janar 2018, midis Energy Recuperator, shitës dhe Integrated Technology Services, blerës parashikohet se:

‘Në datën 29.07.2016 midis palès shitëse dhe blerëse është nënshkruar një marrëveshje bashkëpunimi në të cilën është vendosur që në momentin e përfitimit të kontratës koncesionare nga autoritetet lokale shitësi duhet të transferojë aksionet te bleresi dhe se çmimi i blerjes është 15.000 euro.’

Pra ishte përcaktuar më një marrëveshje 3 javë përpara themelimit të kompanisë Integrated Energy BV që do të ishin vetëm për të mashtruar autoritetet shqiptare.

Si rrjedhojë, në datën 12.01.2018, Integrated Technology Services me aksioner të vetëm Klodian Zoto bëhet 100% aksioner i kompanisë Integrated Energy BV, me seli në Hollandë. Pra, deri këtu ndodh ndryshimi i parë i pronësisë së kompanisë Integrated Energy BV SPV, e cila fitoi kontratën koncensionare të inceneratorit të Tiranës.

Por vetëm dy muaj pasi Klodian Zoto merr në pronësi 100 përqind të aksioneve të kompanisë Integrated Energy BV SPV, ai rishet këto aksione. Në datën 20.03.2018 Integrated Technology Services i'a shet aksionet  Giuseppe Ciaffaglione. Në kontratë përcaktohet se çmimi i shitjes së aksioneve është 463.000 euro që do të paguhen me këste 6.500 euro/muaj duke filluar nga prilli 2018.

Giuseppe Ciaffaglione, është një shtetas Italian, me profesion Kaldaist, i cili kishte një kontratë konsulence me kompaninë e Inceneratorit të Fierit, e cila ishte në pronësi të Klodian Zotos, ku do të përfitonte një shumë 300 mijë eurosh, ndërsa si administrator i Integrated Energy BV SPV, do të paguhej me 5 mijë euro në muaj.

Thënë më qartë, kompania Koncensionare e Inceneratorit të Tiranës, i shitet me këste punonjësit të saj Giusepe Ciaffaglione, i cili nga kaldaist i Klodian Zotos, bëhet pronar i vetëm i kompanisë koncensionare, që do të duhet të investonte 128 milionë euro kapital të vetin aksionar.

Kjo është deklarata e Gabriele Tarraoni Longinotit, dhënë për emisionin Piranjat në Syri Tv një vit më parë, ku zbuloi gjithashtu të dhëna të rëndësishme se Giuseppe Ciaffaglione në fakt ishte një ‘presta nome’ i shoqërive që kishte krijuar Alberto Presezzi dhe të tjerë.

Në fakt, Giusepe Ciaffaglione, nuk i pagoi kurrë paratë për blerjen e aksioneve të kompanisë mëmë të inceneratorit të Tiranës, Integrated Technology Service.

Këtë ai e dëshmon në një e-mail për drejtorin e Geogenix, Marc Lappat, e-mail që emisioni ‘Plug’ e disponon ekskluzivisht dhe e publikon për herë të parë.

Në këtë e-mail Ciaffaglione i cilëson këto aksione në vlerë qindra miliona euro si dhuratë.

Në e-mailin e datës 29 mars të vitit 2023, Giuseppe Ciaffaglione i shkruan si më posht Marc Lappat:

Po shpjegohem më mire Marc, mbase kujton dhe ti: dokumentacioni i kërkuar nga unë, janë një prioritet i imi dhe është në interesin tim të kem një kopje. Historiku i kompanisë, ti e di mirë se çfarë nënkupton, gjithsesi po ta përmbledh me shpresën se do kem përgjigje. Në mars të 2018, jam shoqëruar nga Denisa për të mbyllur blerjen dhe kalimin e aksioneve, del Granelli Ernesto, PW Energy, ITS dhe më kalohen mua 99% nga ITS. Kontrata e firmosur në Civilence në Mars 2018 përcaktonte një pages mujore në favor Z.KL.

Në fakt nuk i kam paguar kurrë këto aksione dhe nuk është respektuar kontrata e shkruar nga Civilence.  Në të njëjtin moment i është kaluar Almares BV e përfaqësuar nga Marc Lappat, në mars te 2018 detyra e drejtimit administrativ të kompanisë IE BV Hollandë.

Në Aktin Noterial zonja Denisa kishte prokurën dhe mbante korrespodencën me ty për dokumentacionin. Në 2022 kanë ndryshuar aksionet, të ndara me FT, ICARE, HYDROS etj. Aksionet e mia përcaktohen 19%, nuk rezulton asnjë pagesë nga ana ime për këto aksione, mendoj që më janë dhënë dhuratë.

Siç shprehet dhe në email, në 10 maj të vitit 2022 Giuseppe Ciaffaglione shet 40% të aksioneve kompanisë Franco Tosi Meccanica spa dhe 40% Icare Holding s.a.

Të dyja kompanitë i kanë blerë këto aksione në vlerën 312.000 euro secili dhe kjo shumë do të paguhet brenda datës 30 nëntor të vitit 2023, as këto pagesa nuk janë kryer kurrë.

Këto kompani do i përfitojnë këto aksione me kushtin që secila duhet të garantojë financimin e projektit të inceneratorit të Tiranës dhe minimalisht 60.000.000 euro nga financimi i borxhit të jetë kaluar në llogari të  Kompanisë. Nëse ky kusht nuk plotësohet, kompanitë do i kthejnë aksionet pa kosto te shitësi (Giuseppe Ciafagglione).

Aktualisht, kompania Geogenix BV, ka si aksioner të saj, kompanite Icare Holding me 40% të aksioneve, Hydros SRL me 0.01% të aksioneve, Franco Tosi Mecanica me 40% të aksioneve dhe Giuseppe Ciaffaglione me 19.9 % të aksioneve./ CNA
