Disputed appointment at Vlora Airport/ What is happening between the concession

The Swiss company MABCO, owner of 98% of the shares of the concession company of Vlora International Airport, has raised another concern regarding the legal situation.

The new stance comes as a few weeks ago this company raised a claim for legal asymmetry, as the minority shareholder, representing only 2% of the capital, was blocking the decision-making of the overwhelming majority and paralyzing the progress of the airport's works.

This time, Mabco Constructions SA declares that the appointment of Vegim Hoxha as administrator of the company is illegal.

According to the company, the appointment was made unilaterally by the minority partner 2A Group sh.pk, which holds only 2% of the shares, without respecting legal procedures and the minimum quorum of 30% provided for by Albanian legislation.

The company announces that it has followed the legal channels to ascertain the invalidity of this decision and that the First Instance Court of General Jurisdiction of Tirana, with decision no. 1169, dated 19.12.2025, has accepted the request for a precautionary measure.

"Vegim Hoxha is not authorized to exercise full administrative powers, but only strictly limited and expressly determined actions by the court, until the final resolution of this matter," the company's position is emphasized, based on the decision.

The company further warns that this administration has no right to legally represent VIA or enter into contracts on its behalf and that any act undertaken by it will be considered invalid, while underlining that any third party that enters into a legal relationship with VIA through it does so by assuming the legal risk./ CNA
