
Until 2018, the "Homeplan" company, which built the towers at the former Psrtizani complex, was 100% owned by Fatmir Bektashi. He signs all decisions on behalf of the shareholder and withdraws dividends.
But somewhere in a notary's office in Tirana, documents not delivered to state institutions distribute dividends or record dividend payments for Jamarbër Malltez.
Dividends are distributed based on a notarized contract not registered at the National Business Center, in which Malltezi is the owner of the company that took over the development of the property with 35%.
At the same time, he invoices tens of thousands of euros to the company Homeplan for "consulting services."
The prosecution notes how in the communications captured in the notary's office, the terms "consultancy payment" and "dividend" are used interchangeably.
According to the prosecution, this "raises the reasonable suspicion that it was done with the aim of obtaining from this citizen the benefits of the Homeplan company, despite the fact that he was not legally a partner of this company."
The prosecution also notes that in the company's documents, sums of thousands or tens of thousands of euros are paid to Malltez, identifying him only with his initials, as well as "from time to time with the words "KP" or "Patriotic Contribution".
According to one of the witnesses questioned by the prosecution, it was not clear why the term "patriotic contribution" was used, but it was obvious that this term was also used for the payments to Malltez by Fatmir Bektashi.
For unknown reasons, the partners decided to make a new contract in 2014, which they officially filed with the National Business Center in 2018. In the contract, citizen Fatmir Bektashi sells, with the consent of his wife, Malltez 35 % of shares for the nominal value of 35 thousand ALL.
The prosecution notes the anomaly: until the end of 2013, the company had undistributed profits in the amount of ALL 362 million. With many towers under construction, the sale of 35% of its shares for 35,000 ALL seems like a bargain.
In fact, the prosecution suspects that the transaction served as a way to justify the transfer of money from the company to Malltezi, who is already suspected of being a shadow shareholder, although there is no evidence to suggest that he invested money in the company.
Such a fact was also admitted in the prosecution by Fatmir Bektashi, who said that Malltezi has always been part of the "Homeplan" company, "regardless of when things were reflected in the National Business Center".
