Vlora airport case/ Tirana Court "freezes" the situation

The Tirana Court of First Instance has decided to freeze the current situation of the company VIA sh.pk, until a final decision is made.

According to the decision, any decision-making, legal action or registration that changes or exercises rights over a quota ownership ratio different from that resulting from the Quota Sale and Purchase Agreement, according to which Mabco owns 51% of the quotas and 2A Group owns 49%, is prohibited.

Among other things, the suspension of the meeting of 06.06.2026 of the VIA Shareholders' Assembly has been decided and the dismissal of the current administrator, Vegim Hoxha, as well as the appointment, election or designation of another administrator has been prohibited.

The partner in VIA Company Macbo Construction SA is also obliged to maintain the legal, corporate and administrative status of the company unchanged until the final resolution of the dispute with a final decision.

The court regarding the request for the taking of a precautionary measure for the lawsuit, dated 05.06.2026,

1. Acceptance of the request for the taking of a precautionary measure for the lawsuit, in order to preserve the existing legal, corporate and administrative situation in VIA sh.pk, until the conclusion of the trial with a final decision, by:

* prohibit any decision-making, legal action or registration that violates, changes or exercises rights over a quota ownership ratio different from that resulting from the Quota Sale and Purchase Agreement no. 2437 Rep., no. 941 Kol., dated 03.04.2025, according to which Mabco Construction SA owns 51% of the quotas and 2A Group SHPK owns 49% of the quotas of the VIA Company;

* suspended the meeting of 06.06.2026 of the VIA Shareholders' Assembly and prohibiting the dismissal of the current administrator, Mr. Vegim Hoxha, as well as the appointment, election or designation of any other administrator by the General Assembly of Shareholders or any other body of the company;

* suspended the taking of any decision to change the statute, to recognize contracts not previously approved by VIA, change of administrator or management bodies, loan contracts of any other form and

* forced the partner in VIA Company Macbo Construction SA to maintain the legal, corporate and administrative status of the company unchanged until the final resolution of the dispute with a final decision. /CNA
