CNA warned/ Seized Tirana's incinerator

CNA reported two days ago that SPAK is seizing Tirana's incinerator.

This Tuesday, SPAK issued an official announcement, confirming the CNA's warning.

The announcement states that Klodian Zoto and Mirel Mërtiri have used other persons and companies to hide their traces as the real owners of the concession company "Integrated Energy BV SPV" sh.pk

SPAK declares that Zoto and Mërtiri are the persons who have guided and made the decisions regarding the Tirana incinerator concession company.

The Special Prosecutor's Office against Corruption and Organized Crime in Tirana is investigating within the framework of criminal proceedings no. 255 of 2020, for the criminal offenses of "Fraud with serious consequences", in cooperation, "Abuse of duty", "Passive corruption of officials high state officials or local elected officials", provided by articles 143/3 and 25, 248, 260 of the Criminal Code, "Cleaning of the proceeds of a criminal offense or criminal activity", carried out in cooperation, provided by articles 287/ letter "a" and "b" of the Criminal Code, committed in the qualifying circumstance "in cooperation", according to article 287 paragraph 2 of the Criminal Code.

From the acts administered up to this stage of the investigation, in relation to the concession contract no. 6597 prot, dated 31.08.2017 "Construction of landfill, incinerator and rehabilitation of existing storage sites, Tirana", between the Contracting Authority Ministry of the Environment and the company "Integrated Energy BVSPV" sh.pk, with investment costs provided for in the concession contract in the value of 128,248,330 Euros (one hundred and twenty-eight million two hundred and forty-eight thousand, three hundred and thirty) without VAT, it has resulted that the citizens Klodian Zoto and Mirel Mërtiri are the "de facto" owners of the company "Integrated Energy BV SPV" sh .pk, which has won the concession contract "Construction of landfill, incinerator and rehabilitation of existing storage sites, Tirana", and are the "de facto" owners of its parent company, established in the Netherlands,

From the evidence obtained during the investigation, it was found that the citizens Klodian Zoto and Mirel Mërtiri used other persons and companies to hide their traces as the real owners of the concession company "Integrated Energy BV SPV" sh.pk

It has been proven that the citizens Klodian Zoto and Mirel Mërtiri are the people who guided and made the decisions regarding the concession company "Integrated Energy BV SPV" sh.pk and the parent company in Holland with the previous name "Integrated Energy BV", currently "Geogenix BV", which coincides from the moment of establishment of these companies and continues.

From the acts administered up to this stage of the investigation, it results that the citizen Klodian Zoto, in cooperation with the citizen Mirel Mërtiri, have benefited thanks to the falsified tax invoices, the monetary value of 409,428,000 (four hundred nine million four hundred twenty eight thousand) lek, where the citizen Klodian Zoto appeared and declared falsified invoices for works performed through his other company "Integrated Energy Services" sh.pk, as a subcontractor of the concessionaire company "Integrated Energy BVSPV" sh.pk At the time of issuing these forged invoices, it is proven that the "de facto" shareholders were the citizens Klodian Zoto and Mirel Mërtiri.

Also, the fact that the citizens Klodian Zoto and Mirel Mërtiri indirectly own the company "FMO" sh.pk was evidenced from the investigation. Evidence was gathered that these citizens, using the illegal profits, bought on behalf of the entity "FMO" sh.pk , a real estate, with an area of ??611 m2, worth 1,000,000 Euros, located in the city of Durrës.

Based on the request submitted by the Special Prosecutor's Office, the Special Court of First Instance for Corruption and Organized Crime, with decision no. 95, dated 28.07.2023, has decided:

1. Acceptance of the request of the Special Prosecutor's Office Against Corruption and Organized Crime and the imposition of the "preventive sequestration" property insurance measure on the assets as follows:

1.1. The legal entity "Integrated Energy BVSPV" sh.pk, with Nipt L72031013B, with headquarters in Tirana, together with all real and movable assets owned by it.

1.2. The legal entity "Integrated Technology Services" sh.pk, with Nipt L02302032C, with headquarters in Tirana, together with the real and movable assets owned by it.

1.3. Real estate in the possession of the company "FMO" sh.pk, property type "unit", with an area of ??611 m2, with address Durrës.

The General Directorate of the State Police and the Agency for the Administration of Seized and Confiscated Assets have been charged with the execution of decision no. 95 dated 28.07.2023 of the Special Court of First Instance for Corruption and Organized Crime./ CNA.al
