CNA has secured the investigative file for the directors arrested in the Municipality of Tirana, Mariglen Qaton, Redi Molla, Taulant Tushen, as well as other officials who are in the mass of mandatory appearance.

"On the ownership of the commercial company "SD Konstruksion" sh.pk, according to the data of the commercial register, it appears that the citizen Eduard Meta, who founded the company on 22.01.2016 and was a partner of the company until 07.12.2018, has simultaneously committed during the year 2016, the activity as a natural person with Nipt L52025064M, with the object of activity electrical works, masonry and metal constructions, where he was self-employed and also paid social security. On 27.01.2017 he sold 75% of the shares of the company to the citizen Muhamet Petriti, continuing to own 25% of them and continuing to perform the duties of the administrator of the company until 22.06.2018. when citizen Nestor Muhametllari was appointed administrator. Citizen Eduard Meta continued to have the quality of partner until 07.12.2018. For the period 2016-2018, the trading company has realized profits in the amount of 8,458,725 ALL and during this time it has not distributed dividends to the partners, while it turns out that the shares of the company were sold by him for the total price of 100 ALL.

From the investigations, data has emerged that the citizen Eduard Meta has social relations with the citizen Mariglen Qato and with his brother, the citizen Alfred Qato, who was employed in the trading company "Igor Elektrik" sh.pk from 2016 to 2021. as technician/sector manager. Likewise, from the employees of the company (as will be referred to below and from their communications according to the data provided during the personal and site control and equipment expertise), the citizen Mariglen Qato was known as a partner with the citizen Eduard Meta.

From the data of the commercial register, it appears that the citizen Muhamet Petriti is registered in 2010 as a natural commercial person and carries out the activity "Bakery", with Nipt 1020110121. Likewise, his wife Vjollca Petriti is registered since 2013 as a natural person trader with object of activity with object of activity "Dough production", with NUIS L31401019U. From the data administered by the tax authorities, it appears that for the period from 2017 to 2021, when he was a partner in the commercial company, social security was paid for the citizen Muhamet Petriti by the natural person "Vjollca Petriti". Even after the date 04.03.2021, when he sold the shares of the company to the citizen Nestor Muhametllari, Muhamet Petriti continued to be employed in the commercial activity "Vjollca Petriti".

It turned out that citizen Muhamet Petriti is the father-in-law of citizen Alfred Qato, who is the brother of citizen Mariglen Qato. It also results that, although the citizen Muhamet Petriti on 27.01.2017 bought 75% of the shares of the company, the position of administrator of the company continued to be held by citizen Eduard Meta, until 22.06.2018 when citizen Nestor Muhametllari was appointed administrator. With the quota sale contract dated 03.04.2021, citizen Muhamet Petriti sold 100% of the company's shares to citizen Nestor Muhametllari, until that moment the administrator of the company appointed by him, for the price of 1,000,000 ALL. Meanwhile, it turns out that only during the year 2020 the company made profits in the amount of 106,811,679 ALL and also had undistributed profit accumulated from 2019 in the amount of 33,244,858 ALL. About 4 months from the moment of the purchase of the company's shares, on 22.07.2021, the sole partner of the company has decided to distribute the dividend (to the partner Nestor Muhametllari) in the amount of 36,800,000 lek", says the investigation file provided by CNA.

The financial statements of the SD construction company during the years 2016-2022 are also disclosed.

From the data as above, it is established that for the period that the citizen Eduard Meta was a partner of the company, in the years 2016-2018, the company made total profits in the amount of 8,458,725 ALL and did not distribute any dividends to the partners. The shares of the company were sold by him for the price of 100 ALL.

For the period that the citizen Muhamet Petriti has been a partner of the company, in the years 2017-2020, the company has realized profits in the amount of ALL 186,793,249. For this period, the trading company has distributed dividends to partner Muhamet Petriti in the total amount of ALL 39,287,204.

Citizen Muhamet Petriti sold all the shares of the company on 04.03.2021 for the price of 1,000,000 ALL, while according to the financial statements of the company for the fiscal year 2020, the company had undistributed profit in the amount of 33,244,858 ALL.

With the decision of the sole partner of the company, citizen Nestor Muhametllari, dated 22.07.2021. received about four months after the purchase of the company's shares by the citizen Muhamet Petriti, the approval of the company's statements for the year 2020 has been decided and after paying the dividend for the company's profit in the amount of 40,000,000 ALL (the rest of the profit of 66,811,679 ALL has been passed for other reserves and investments), to pay a dividend to partner Nestor Muhametllari in the amount of ALL 36,800,000./ CNA
