The scandal/ Concessionaire of 128 million euros hides the name changes

The concession company of 128 million euros, Integreted Energy BV SPV, which has taken over the Sharra landfill and the Tirana incinerator, has single shareholders Integreted Energy BV, a company registered in the Netherlands, a chain of shell companies, which tried to hide their names.

After an investigation of a wide network of journalists of an investigative network from several European countries, Integreted Energy BV at one point disappeared, and did not appear anywhere. But we were able to find out, even with the help of our colleagues, that Integreted Energy BV, the company that has 100% of the shares of the company that has the concession of the incinerator in Tirana, had changed its name to Geogenix BV.(Read here)

This happened exactly one day after CNA.al reported about another company in Bulgaria of the owners of incinerators in Albania, Klodian Zoto and Mirel Mërtiri, with Eva Blushi, the wife of the director of Top Channel, Ben Blushi.

And then there was the same Bulgarian company, EM Capital Group, which had bought in Albania 51 shares of “Valtelina Coffee”, which bears the trade name Lori Coffee, and now the owners of the incinerators had become co-owners with the shareholder of Top Channel, Vjollca Hoxha.

Following the discovery of this document, the name of the company Integreted Energy BV was changed in the Netherlands, to Geogenix BV, which you can read here. Today, more than two months after the name change in the Netherlands, the company is embroiled in another scandal. A scandal that could cost even the concessions.

The name of the sole shareholder in the Netherlands, is changed and no official report is made to the responsible institutions in Albania. Within the day, he registered the firm and signed the contract with the Ministry of Environment, and it has been 2 months since the name was changed, and no one knows anything.

Sot, let?s look at the chain. According to a NRC extract issued today, the sole shareholder of the company Integreted Energy BV SPV, turns out to be after two months still the company Integreted Energy BV, although this company no longer exists, but has changed its name.

The company registered in the Netherlands is called Geogenix BV, it retains the same fiscal code but has changed its name. In order to change the name of a concession company minimally, according to the laws of the Albanian state, you must seek the approval of the relevant ministry or institution, that has given you the contract or concession permit.

We asked the Ministry of Environment yesterday, and they told us that there is no request or document submitted by the company Integreted Energy BV or Integreted Energy BV SPV to change the name.

The same answer was given to us by the National Water Supply and Sewerage Agency. According to NWSA, no official document had been sent to these institutions until yesterday by the 100% shareholder and sole shareholder of the company, that won the landfill and incinerator concession of Tirana.

So, not its changed not only the name, but was is ignored every institution. The plenipotentiaries of this concession, doesn?t care about anyone. They go and build a company in the Netherlands, after coming to Albania they receive a concession of 128 million euros and today, almost three years after the signing of this concession, they receive money from businesses and the municipality of Tirana, earn tens of millions of euros, but do not respect one single legal procedure.

First of all, there is no single official report for this change to the relevant institutions, and in this case the change is essential, and does not appear anywhere. Albania, its government institutions, have given a concession to a company that no longer exists today, and the Albanian state does not know this.

With the documents that we possess, it is very clear that the company Integreted Energy BV does not exist, it has changed its name to Geogenix BV, and the Albanian state, the government and the responsible institutions, do not have any documents and these facts hasn?t? been reported nowhere./ CNA.al
